We are Medical 360 HC PLLC, doing business as StackMD (“Company,” “we,” “us,” “our”), a medical professional limited liability company registered in New York, United States.

We operate the website and services associated with StackMD (the “Site”), as well as any applications, communications, and services that reference these Legal Terms (collectively, the “Services”).

These Legal Terms constitute a binding agreement between you and Medical 360 HC PLLC governing your access to and use of the Services. By using the Services, you confirm that you have read, understand, and agree to be bound by these Terms. If you disagree, you must discontinue use immediately.

We may update these Terms at any time. Changes take effect when posted. Continued use of the Services constitutes acceptance of the updated version. We recommend saving or printing a copy of these Terms for your records.

The Services are available only to individuals 18 years of age or older.

1. Our Services

StackMD provides medical, wellness, and telehealth services including but not limited to weight management, hormone optimization, IV therapy, pain management, sexual wellness, and medication-assisted treatment. Services are provided in-office in Albertson, NY and via telehealth platforms to patients in states where we are licensed to practice.

The Services are not intended for use in any jurisdiction where such use would violate applicable laws or regulations. If you access the Services from outside the United States, you do so at your own risk and are responsible for compliance with local laws.

Not a Substitute for Emergency Care
The Services are not designed for medical emergencies. If you are experiencing a medical emergency, call 911 or go to your nearest emergency room immediately.

Telehealth Services
Telehealth services are provided via HIPAA-compliant platforms. By using telehealth services, you consent to receiving care through electronic communication. You understand that telehealth has inherent limitations compared to in-person care and that your provider may determine that an in-person visit is necessary.

Compounded and Off-Label Medications
Some medications prescribed through StackMD may be compounded or prescribed off-label. Compounded medications are not FDA-approved. Off-label prescribing is legal and common in medical practice but means the medication is being used in a manner not specifically approved by the FDA for your condition. Your provider will discuss the risks, benefits, and alternatives with you prior to prescribing.

HIPAA Compliance
Medical 360 HC PLLC complies with applicable provisions of the Health Insurance Portability and Accountability Act of 1996 (HIPAA) and maintains administrative, physical, and technical safeguards designed to protect protected health information (PHI) in accordance with federal and applicable state law.

2. Intellectual Property Rights

Our Property
All software, designs, text, logos, trademarks, images, graphics, and content made available through the Services (“Content” and “Marks”) are owned by or licensed to StackMD. You may access, download, or print portions of the Services for personal, non-commercial use only. Any other use requires prior written authorization from us.

Your Submissions
If you submit feedback, questions, or suggestions, you grant StackMD the unrestricted right to use them without compensation. Submissions must not violate applicable laws or third-party rights.

3. User Representations

By using the Services, you represent and warrant that:

  • All information you provide is truthful, accurate, and current
  • You have the legal capacity to enter into these Terms
  • You will not use automated systems, bots, or scrapers to access the Services
  • You will comply with all applicable laws and regulations
  • You are not located in a jurisdiction where use of the Services is prohibited

We may suspend or terminate your access for any violation of these representations.

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at care@stackmdwellness.com if you suspect unauthorized access. We may reclaim usernames or disable accounts at our discretion.

5. Prohibited Uses

You may not use the Services to:

  • Scrape data or access restricted areas of the Site
  • Upload or transmit malware, viruses, or harmful code
  • Impersonate any person or entity
  • Violate intellectual property rights
  • Send spam or conduct unauthorized automated actions
  • Reverse-engineer any software or platform
  • Collect or harvest personal information of other users
  • Use the Services for unauthorized commercial purposes
  • Submit false or misleading health information
  • Harass, threaten, or harm any person

Violations may result in immediate account termination and, where applicable, legal action.

6. SMS and Text Message Communications

By providing your mobile phone number and opting in to text communications, you consent to receive recurring automated text messages from StackMD, including appointment reminders, care updates, and promotional messages. Message and data rates may apply. Message frequency varies.

Reply STOP to opt out at any time. Reply HELP for assistance. Opting out will not affect your ability to receive care. We do not share your phone number with third parties for their own marketing purposes.

7. User-Generated Content

If you submit content through the Services:

  • You warrant that it is lawful, accurate, and does not infringe third-party rights
  • You allow storage and processing in accordance with our Privacy Policy
  • You are solely responsible for its accuracy and legality
  • We may remove any content at any time without notice or liability

8. Contribution License

We may store, process, and display submitted content as necessary to operate the Services. Ownership of your submitted content remains yours.

9. Services Management

We reserve the right to monitor, restrict, suspend, or remove content or access at any time to protect the integrity and operation of the Services.

10. Privacy Policy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it carefully.

11. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Services ceases immediately.

12. Modifications and Interruptions

We may modify, suspend, or discontinue the Services at any time without notice. We are not liable to you or any third party for any modification, interruption, or discontinuation of the Services.

13. Governing Law

These Legal Terms are governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles.

14. Dispute Resolution

Informal Resolution
Before initiating arbitration, you agree to contact us at care@stackmdwellness.com and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration
If informal resolution fails, any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, with proceedings conducted in New York. The arbitrator’s decision is final and binding.

Waiver of Class Action and Jury Trial
You waive any right to participate in a class action lawsuit or class-wide arbitration, and any right to a jury trial, to the fullest extent permitted by law.

Exceptions
Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.

15. Corrections

We may correct errors, inaccuracies, or omissions in the Services or these Terms at any time without prior notice.

16. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

INFORMATION PROVIDED THROUGH THE SERVICES IS FOR GENERAL INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE MEDICAL ADVICE. ALWAYS CONSULT A QUALIFIED HEALTHCARE PROVIDER BEFORE MAKING MEDICAL DECISIONS. RESULTS FROM OUR SERVICES VARY AND ARE NOT GUARANTEED.

17. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MEDICAL 360 HC PLLC, ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

18. Indemnification

You agree to indemnify, defend, and hold harmless Medical 360 HC PLLC and its officers, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable attorneys’ fees) arising from your use of the Services, your violation of these Terms, or your submission of false or harmful information.

19. User Data

We collect and handle your data in accordance with our Privacy Policy. You are responsible for the accuracy of information you provide. We are not liable for data loss resulting from circumstances outside our control.

20. Electronic Communications Consent

By using the Services, you consent to receiving electronic communications from us, including emails, text messages, and in-app notifications. These communications may include administrative notices, service updates, and, where you have opted in, marketing messages. Electronic communications satisfy any legal requirement that communications be in writing.

21. Miscellaneous

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Medical 360 HC PLLC regarding the Services. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force. Our failure to enforce any right or provision does not constitute a waiver of that right.
